About the role
This interview tests whether you can examine an acquisition from strategic, financial and transaction perspectives. The panel will look for disciplined modelling, scepticism about the quality of earnings and an ability to turn findings into a clear recommendation for a client or investment committee.
How to prepare
- Review the steps in a transaction from initial screening through due diligence, valuation, negotiation and completion.
- Practise explaining a discounted cash flow, comparable company analysis and precedent transaction analysis without hiding behind formulas.
- Prepare an example of a model you built, including the assumptions, checks and sensitivities that mattered most.
- Think through how working capital, debt-like items and one-off earnings adjustments affect value.
- Practise giving a concise recommendation after reviewing an unfamiliar deal case.
Common mistakes
- Treating a high growth forecast as fact without testing its operational drivers.
- Giving a valuation range without explaining the assumptions and sensitivities behind it.
- Listing due diligence findings without connecting them to price, structure or the decision to proceed.
